1. Introduction

Welcome to Webcontra. By accessing our website or signing up for any of our services, you agree to be bound by these Terms of Service. Please read them carefully before proceeding.

Webcontra is a Website-as-a-Service (WaaS) platform that provides professionally designed, built, and managed websites on a subscription basis. These terms govern your use of the Webcontra website and all services delivered under a Webcontra subscription plan.

2. The Service

Webcontra provides clients with:

  • A custom-designed and developed website built to their brief
  • Hosting and domain management
  • Ongoing maintenance, security monitoring, and technical support
  • A content management tool for self-service content updates
  • Agency support for structural change requests

The specific features included in your plan are detailed at the time of purchase. Webcontra reserves the right to update, modify, or discontinue features with reasonable notice.

3. Subscriptions & Billing

Webcontra services are provided on a subscription basis, billed quarterly or annually depending on your selected plan. Subscriptions begin on the date your site goes live.

  • Subscriptions renew automatically unless cancelled before the renewal date.
  • You will be notified of any price changes at least 30 days before they take effect.
  • Failure to make payment may result in suspension of your service, including your hosted website.

A one-time onboarding fee is charged at the start of your engagement. The amount varies based on your selected plan. Beyond that, you pay only your subscription rate and any agreed add-ons.

4. Your Responsibilities

You agree to:

  • Provide accurate information during onboarding and throughout your engagement with Webcontra
  • Supply any content, assets, or materials needed for your site in a timely manner
  • Ensure all content you provide does not infringe on third-party intellectual property rights
  • Use the content management tool only for permitted content updates — not for structural changes, which must be submitted as change requests
  • Not attempt to reverse-engineer, copy, or redistribute any part of the Webcontra platform or CMS widget

5. Intellectual Property

Your content: All copy, images, logos, and other materials you provide remain your property.

Your website: Upon full payment of all outstanding subscription fees, the custom website design and code built for you is yours. Webcontra retains no ownership claim over your website's content or design.

Webcontra platform: The Webcontra CMS widget, dashboard, tooling, and platform infrastructure remain the sole property of Webcontra. These are licensed to you for use during your active subscription and are not transferred to you at any point.

6. Change Requests

Structural changes — including new pages, new sections, layout changes, and new features — are outside the scope of standard content management and are handled as billable change requests. Webcontra will quote each request before any work begins. No structural work is carried out without your approval.

7. Cancellation

You may cancel your subscription at any time by contacting us at hello@webcontra.io. Cancellations take effect at the end of the current billing period. Your website will remain live until the period ends.

Upon cancellation:

  • Your website files and content will be made available for export upon request.
  • Domain transfer requests are subject to the terms in our Refund Policy.
  • Webcontra retains no ongoing obligation to host or maintain the site after cancellation.

8. Service Availability

Webcontra aims to maintain high uptime for all hosted client websites. However, we do not guarantee uninterrupted or error-free service. Scheduled maintenance will be communicated in advance where possible.

Webcontra is not liable for downtime caused by third-party infrastructure providers (including hosting and DNS services) or circumstances beyond our reasonable control.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Webcontra's total liability to you for any claim arising from or related to these terms or the services shall not exceed the total amount paid by you in the three months preceding the claim.

Webcontra is not liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of revenue, loss of data, or business interruption.

10. Changes to These Terms

Webcontra reserves the right to update these Terms of Service at any time. We will notify you of material changes with at least 14 days' notice. Continued use of the service after that date constitutes acceptance of the updated terms.

11. Governing Law

These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
